These Terms of Service (“Terms”) govern your access to and use of the Service Deel website, applications, marketplace, communication tools, payment features, and other products or services made available by Service Deel (collectively, the “Platform”). By accessing the Platform, creating an account, posting or offering a service, posting a job or project, hiring a service provider, purchasing a service, or otherwise using Service Deel, you agree to these Terms and any additional policies referenced in them. If you do not agree to these Terms, you must not access or use Service Deel. 1. ABOUT SERVICE DEEL Service Deel is an online marketplace designed to connect individuals and businesses seeking workers, professionals, freelancers, contractors, and other service providers with individuals or businesses offering skills and services. Depending on the features available in a particular location, users may use Service Deel to: • Find jobs, projects, and service opportunities; • Search for workers, freelancers, professionals, and service providers; • Advertise or offer services; • Post jobs, projects, or service requests; • Communicate with other users; • Submit offers or proposals; • Hire or engage service providers; • Purchase services; • Make or receive payments through supported payment methods; • Review completed transactions or services; and • Use other marketplace features provided by Service Deel. Unless Service Deel expressly states otherwise, Service Deel is a marketplace facilitator and is not the employer, employee, agent, partner, representative, or joint venture of users who meet or transact through the Platform. 2. ELIGIBILITY You must be legally capable of entering into a binding agreement to create an account or use transaction-related features of Service Deel. If you are under the age required to enter into legally binding contracts in your country, you may use Service Deel only where permitted by applicable law and with any required consent or supervision of a parent or legal guardian. By using Service Deel, you represent that: • The information you provide is truthful and accurate; • You have the legal capacity to agree to these Terms; • Your use of the Platform does not violate applicable laws; • You are not prohibited from receiving or providing the relevant services; and • You will comply with these Terms and applicable Service Deel policies. 3. USER ACCOUNTS Certain features require a Service Deel account. When creating or maintaining an account, you agree to provide accurate, current, and complete information. You are responsible for safeguarding your account credentials and for activities performed through your account. You must promptly notify Service Deel if you believe your account has been compromised or used without authorization. Service Deel may require users to verify information such as their email address, telephone number, identity, business information, professional qualifications, payment information, or other information reasonably necessary for security, fraud prevention, legal compliance, or marketplace integrity. Verification does not constitute an endorsement or guarantee by Service Deel regarding a user's identity, qualifications, reliability, or ability to perform a service. 4. USER TYPES Service Deel may support different types of users. Job Seeker Description A Job Seeker is an individual who uses Service Deel to search for employment, freelance work, part-time or full-time jobs, temporary work, projects, or other income opportunities. Job Seekers can create a professional profile, showcase their skills and experience, search for available opportunities, apply for suitable positions, communicate with employers or clients, and connect with people or businesses looking for their services. Employer Description An Employer is an individual, business, company, or organization that uses Service Deel to find, connect with, and hire qualified Job Seekers or Service Providers. Employers can create job postings, describe their requirements, review profiles, communicate with candidates, and select the right people based on their skills, experience, availability, and services. A user may act as both a Job Seeker and Employer where permitted by the Platform. 5. SERVICE LISTINGS AND PROFILES Service Providers may be permitted to create profiles or listings describing their services, experience, qualifications, pricing, availability, location, portfolio, or other relevant information. All information must be accurate and must not intentionally mislead other users. Service Providers are responsible for ensuring that they have any licenses, certifications, permits, insurance, qualifications, registrations, or legal authorizations required to provide their services. Service Deel may remove, restrict, reject, edit, categorize, or suspend listings or profiles that violate these Terms or other Service Deel policies. 6. JOB AND SERVICE REQUESTS Clients may post jobs, projects, vacancies, service requests, or other opportunities. Clients are responsible for ensuring that their postings accurately describe the work, requirements, compensation where applicable, and other material conditions. Users may not post opportunities or requests that are unlawful, fraudulent, deceptive, discriminatory where prohibited by law, dangerous, or otherwise prohibited by Service Deel. 7. AGREEMENTS BETWEEN USERS When an Employer hires, purchases from, or otherwise engages a Service Provider, the Job Seeker and Employer may enter into a separate agreement concerning the service. Unless Service Deel expressly agrees otherwise, Service Deel is not a party to the agreement between the Job Seeker and Employer. Users are responsible for agreeing upon matters such as: • Scope of work; • Price or compensation; • Deadlines; • Deliverables; • Revisions; • Location of work; • Required materials; • Confidentiality; • Intellectual property ownership; • Cancellation conditions; and • Other service-specific requirements. Any additional agreement between users must not conflict with these Terms or applicable law. 8. INDEPENDENT SERVICE PROVIDERS Unless expressly stated otherwise, Employers using Service Deel operate independently. Nothing in these Terms creates an employment relationship between Service Deel and a Service Provider or Employer. Service Deel generally does not control the manner or means by which independent Service Providers or Employers perform their services. Service Providers and Employers are responsible for their own business operations and for complying with applicable employment, labor, licensing, tax, insurance, and professional requirements. The classification of a relationship between users will ultimately depend on applicable law and the actual circumstances of that relationship. 9. PAYMENTS Where Service Deel provides or integrates payment functionality, users agree to use supported payment methods and comply with any applicable payment terms. Service Deel may use third-party payment processors to process transactions. Users may be required to provide payment, billing, banking, tax, or identity information to Service Deel or its payment providers. Additional payment processing terms may apply. Service Deel may charge transaction fees, service fees, processing fees, subscription fees, listing fees, withdrawal fees, or other fees disclosed to users before the applicable transaction or service. Service Deel may modify its fees from time to time. Changes will apply prospectively unless otherwise required by law. 10. TAXES Users are responsible for determining and satisfying taxes, duties, levies, contributions, reporting requirements, or similar obligations resulting from their activities on Service Deel, except where Service Deel is legally required to collect, report, withhold, or remit such amounts. Service Deel may collect tax information from users when required by applicable law. 11. CANCELLATIONS AND REFUNDS Cancellation and refund eligibility may depend on the type of transaction, stage of completion, applicable service terms, payment method, and Service Deel's applicable refund or cancellation policy. Users should first attempt to resolve ordinary service-related issues directly through the tools provided by Service Deel. Service Deel may review available information concerning a transaction when determining whether a cancellation, refund, payment release, or other remedy is appropriate. Service Deel does not guarantee that every dispute will result in a refund. 12. DISPUTES BETWEEN USERS Clients and Service Providers are encouraged to attempt to resolve disagreements professionally and in good faith. Service Deel may provide customer support, reporting systems, or dispute-resolution tools. Where Service Deel assists with a dispute, users agree to provide accurate information and reasonably requested documentation. Service Deel's assistance does not make Service Deel a party to the underlying contract between users. 13. OFF-PLATFORM TRANSACTIONS Service Deel may establish rules restricting users from using the Platform primarily to identify another user and then deliberately moving transactions outside Service Deel to avoid applicable marketplace fees or protections. Where such restrictions apply, users must comply with the applicable Service Deel payment and communication policies. Service Deel may suspend or restrict accounts that intentionally circumvent Platform fees, payment systems, or marketplace protections. 14. PROHIBITED SERVICES AND ACTIVITIES Users may not use Service Deel to offer, request, promote, facilitate, or perform illegal or prohibited activities. Prohibited conduct includes, but is not limited to: • Fraud, scams, or deceptive practices; • Theft or trafficking of stolen property; • Money laundering or unlawful financial activities; • Unauthorized access to accounts, networks, devices, or data; • Malware, hacking, phishing, or malicious cyber activities; • Identity theft or impersonation; • Human trafficking or exploitation; • Illegal drugs or controlled substances; • Illegal weapons or dangerous materials; • Services intended to physically harm another person; • Sexual exploitation or illegal sexual services; • Child exploitation or abuse; • Counterfeit goods or documents; • Academic cheating or impersonation where prohibited by Service Deel; • Copyright, trademark, patent, privacy, or other rights infringement; • Harassment, threats, hate-based abuse, or targeted intimidation; • Spam or unauthorized mass solicitation; • Manipulation of ratings, reviews, accounts, or Platform systems; • Misrepresentation of qualifications or credentials; • Unauthorized collection, sale, or disclosure of personal information; or • Any activity prohibited by applicable law. Service Deel may establish additional prohibited-service policies as the Platform develops. 15. USER CONDUCT Users must interact professionally and respectfully. You must not: • Harass or threaten another user; • Intentionally deceive another user; • Submit fraudulent payment information; • Manipulate reviews or ratings; • Create accounts to evade restrictions or suspension; • Impersonate another individual or organization; • Spread malware or malicious code; • Attempt to compromise Platform security; • Scrape or systematically extract Platform data without authorization; • Use automated systems in violation of Service Deel's policies; • Interfere with another user's use of Service Deel; or • Use Service Deel for unlawful purposes. 16. USER-GENERATED CONTENT Users may upload or submit information including profile information, photographs, videos, portfolios, service descriptions, job postings, messages, reviews, comments, files, and other materials (“User Content”). You retain ownership of your User Content subject to rights belonging to third parties. By submitting User Content to Service Deel, you grant Service Deel a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, distribute, format, adapt, and otherwise use that content as reasonably necessary to operate, improve, secure, market, and promote Service Deel, subject to applicable law and our Privacy Policy. You represent that you have the necessary rights to submit your User Content. 17. INTELLECTUAL PROPERTY FOR DELIVERED WORK Ownership of work produced by a Service Provider should be determined by the agreement between the Client and Service Provider. Where no separate agreement exists, Service Deel may establish default intellectual-property rules for particular categories of services. Service Providers must not deliver material that infringes another person's copyright, trademark, patent, trade secret, publicity right, privacy right, or other legal rights. Users should clearly agree on intellectual-property ownership before beginning work, particularly for designs, software, photographs, videos, written materials, branding, inventions, and other creative or technical work. 18. SERVICE DEEL INTELLECTUAL PROPERTY The Service Deel name, logos, Platform design, software, databases, interfaces, graphics, branding, and other materials owned by Service Deel are protected by applicable intellectual-property laws. Except where expressly authorized, users may not copy, reproduce, modify, sell, license, distribute, reverse engineer, create derivative works from, or commercially exploit Service Deel's proprietary Platform materials. Nothing in these Terms transfers ownership of Service Deel intellectual property to users. 19. REVIEWS AND RATINGS Service Deel may allow Clients and Service Providers to review one another. Reviews should reflect genuine experiences. Users may not: • Purchase or sell reviews; • Create fake reviews; • Threaten another user to obtain a favorable review; • Manipulate rating systems; • Review themselves through another account; or • Submit knowingly false or unlawful statements. Service Deel may remove reviews that violate these Terms or applicable policies. 20. SAFETY AND IN-PERSON SERVICES Some services arranged through Service Deel may require users to meet or perform work in person. Users are responsible for assessing the risks associated with in-person interactions. Service Deel does not guarantee the identity, conduct, qualifications, safety, reliability, or suitability of another user merely because that person maintains a Service Deel account. Users should exercise appropriate precautions and comply with applicable workplace and personal-safety requirements. 21. BACKGROUND AND IDENTITY CHECKS Service Deel may offer or facilitate identity verification, credential verification, background screening, or similar features. Unless expressly stated otherwise, a verification badge or completed check does not constitute a guarantee that a user is safe, trustworthy, qualified, or suitable for a particular engagement. Clients remain responsible for conducting any legally required or appropriate due diligence. 22. PRIVACY Service Deel's collection and processing of personal information is governed by its Privacy Policy and applicable data-protection laws. By using Service Deel, you acknowledge that your information will be handled according to the applicable Privacy Policy. Users who receive another user's personal information must use it only for legitimate purposes related to the applicable transaction or engagement and in accordance with applicable privacy laws. 23. THIRD-PARTY SERVICES Service Deel may integrate or link to services provided by third parties, including payment processors, identity-verification providers, mapping services, analytics providers, cloud providers, or social networks. Service Deel does not control all third-party services and is not responsible for their independent terms, policies, availability, or actions. Your use of third-party services may be subject to separate terms. 24. ACCOUNT SUSPENSION AND TERMINATION Service Deel may warn, restrict, suspend, or terminate an account where reasonably necessary to protect the Platform, its users, or third parties. Reasons may include: • Violation of these Terms; • Fraud or suspected fraud; • Illegal activity; • Safety concerns; • Payment abuse; • Repeated complaints; • Intellectual-property infringement; • Manipulation of the Platform; • Providing materially false information; • Circumvention of applicable fees; • Harassment or abusive behavior; or • Other conduct presenting material risk to Service Deel or its users. Where appropriate and legally required, Service Deel may provide notice or an opportunity to appeal certain decisions. Users may stop using Service Deel and may request account closure subject to unresolved transactions, legal obligations, fraud prevention requirements, and record-retention requirements. 25. PLATFORM AVAILABILITY Service Deel does not guarantee that the Platform will always be available, uninterrupted, secure, or error-free. We may modify, suspend, discontinue, replace, or introduce features at any time. Maintenance, security incidents, third-party outages, technical failures, or events outside our reasonable control may affect Platform availability. 26. NO GUARANTEE OF EMPLOYMENT OR WORK Creating an account does not guarantee that a user will receive employment, clients, projects, contracts, sales, income, or other opportunities. Likewise, Service Deel does not guarantee that Clients will find a suitable worker or Service Provider. Users make their own decisions regarding whom they contact, hire, work for, or transact with. 27. DISCLAIMER OF WARRANTIES To the maximum extent permitted by applicable law, Service Deel is provided on an “as available” basis. Service Deel does not guarantee the quality, legality, accuracy, safety, reliability, qualifications, or suitability of services offered by users. Service Deel does not guarantee the conduct or performance of Clients or Service Providers. Nothing in this section excludes warranties or rights that cannot lawfully be excluded. 28. LIMITATION OF LIABILITY To the maximum extent permitted by applicable law, Service Deel and its directors, officers, employees, affiliates, representatives, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to use of the Platform. This may include loss of profits, revenue, business opportunities, goodwill, data, or other intangible losses. Service Deel will not be responsible for losses arising solely from the acts or omissions of users where Service Deel is not legally responsible for those acts or omissions. Any monetary limitation of Service Deel's aggregate liability should be stated here in accordance with the laws applicable to Service Deel and should be reviewed by qualified legal counsel before publication. Nothing in these Terms limits liability that cannot legally be limited or excluded. 29. INDEMNIFICATION To the extent permitted by applicable law, you agree to indemnify and hold harmless Service Deel and its affiliates, directors, officers, employees, and representatives against claims, liabilities, damages, losses, and reasonable expenses arising from: • Your violation of these Terms; • Your unlawful use of Service Deel; • Your services or User Content; • Your violation of another person's rights; • Your breach of an agreement with another user; or • Taxes or legal obligations for which you are responsible. This section applies only to the extent permitted under applicable law. 30. REPORTING VIOLATIONS Users may report suspected fraud, prohibited services, abusive behavior, intellectual-property violations, or other violations through Service Deel's designated reporting or customer-support channels. Service Deel may investigate reports and take appropriate action. Submitting knowingly false or abusive reports may itself constitute a violation of these Terms. 31. CHANGES TO THESE TERMS Service Deel may update these Terms as the Platform, laws, regulations, or business practices change. When material changes are made, Service Deel may provide notice through the Platform, email, or another appropriate method. The updated Terms will identify their effective or last-updated date. Continued use of Service Deel after updated Terms become effective constitutes acceptance to the extent permitted by applicable law. 32. GOVERNING LAW These Terms shall be governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles, except where mandatory consumer-protection laws require otherwise. 33. DISPUTE RESOLUTION Before commencing formal proceedings, users and Service Deel are encouraged to attempt to resolve disputes through Service Deel Customer Support. Any mandatory arbitration provision, jurisdiction clause, venue selection, small-claims procedure, class-action waiver, or consumer dispute mechanism should be inserted here only after review by qualified legal counsel and in accordance with the laws applicable to Service Deel and its users. 34. SEVERABILITY If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect to the maximum extent permitted by law. 35. NO WAIVER Failure by Service Deel to enforce a provision of these Terms does not constitute a waiver of that provision or any other rights. 36. ASSIGNMENT Users may not assign their rights or obligations under these Terms without Service Deel's prior written consent where such consent may lawfully be required. Service Deel may assign these Terms as part of a merger, acquisition, corporate restructuring, sale of assets, or similar transaction, subject to applicable law. 37. ENTIRE AGREEMENT These Terms, together with the Privacy Policy, payment terms, community standards, prohibited-services policies, and other policies expressly incorporated by reference, constitute the agreement governing use of Service Deel. 38. Before publication, Service Deel should have the Terms, Privacy Policy, payment/refund rules, worker-classification provisions, dispute-resolution provisions, and applicable consumer-protection requirements reviewed by qualified legal counsel in the jurisdictions where the Platform operates.
